DRAFTING OF CONTRACTS/AGREEMENTS

  • Term Sheet: A term sheet is a non-binding agreement that sets forth the basic terms and conditions under which an investment will be made. It serves as a template to develop more detailed legal documents and is the basic tool for negotiation. It is more like an offer to invest under specific conditions.
  • Share Subscription & Shareholders’ Agreement (SSHA): A share subscription agreement is used to formalise the terms of the investor’s investment into the company, to bind the parties to the deal and to set out the investment process.
  • Share Purchase Agreement (SPA): The stock purchase agreement is an agreement in which all terms and conditions are finalized when it comes to the sales and the purchase of the shares of the company
  • Business Transfer Agreement: A Business Transfer Agreement (“BTA”) is structured to give effect to a comprehensive sale of assets and liabilities of one entity to another entity.
  • Deed of adherence, Convertible Note, ESOP or ESOS
  • Employment Contract: An employment contract lays out the rights and responsibilities of both employer and employee.
  • Consultancy Agreement: A kind of service agreement which outlines the scope of work to be performed by the conslutant and other terms and conditions related to their appointment in the company.
  • Non-Disclosure Agreement: They are common for businesses entering into negotiations with other businesses. They allow the parties to share sensitive information without fear that it will end up in the hands of competitors. In this case, it may be called a mutual non-disclosure agreement.
  • Memorandum of Understanding (MOU): An MOU clearly outlines specific points of an understanding. It names the parties, describes the project on which they are agreeing, defines its scope, and details each party's roles and responsibilities.
